TERMS & CONDITIONS (PUBLIC OFFER)

1. Introduction
These Terms & Conditions govern the provision of digital image retouching and related visual services by Luda/Ludart ("the Service Provider") to the client ("the Client").
By placing an order (sending the payment), the Client agrees to these Terms.
2. Services
The Service Provider offers digital services including, but not limited to:
• Photo retouching
• Image enhancement
• Restoration of old photographs
• Visual editing and adjustments
• Photo sessions
All services are delivered digitally unless otherwise agreed.
3. Orders & Payment
Prices are indicated on the website or agreed upon before work begins.
Full payment or a deposit may be required before starting the project.
Payments are non-refundable once the work has started, except where required by law.
4. Delivery
Delivery times are estimates and may vary depending on project complexity.
Final files are delivered via email or download link.
The Client is responsible for reviewing the work upon delivery.
5. Revisions
A limited number of revisions may be included (as specified before the project).
Additional revisions may be subject to extra charges.
Rescheduling for photo sessions is allowed once with at least 48 hours' notice. Outdoor sessions may be rescheduled due to adverse weather conditions.
6. Refund Policy
Due to the nature of digital services:
• No refunds are provided once work has begun.
• If the project has not started, a refund may be issued at the Service Provider's discretion.
7. Client Responsibilities
The Client agrees to:
• Provide clear instructions and reference materials.
• Ensure they have rights to use the images provided.
• Respond in a timely manner to requests or approvals.
8. Intellectual Property
The Client retains ownership of their original images.
The Service Provider retains the right to use the final work for portfolio, marketing, or promotional purposes, unless otherwise agreed in writing.
9. Confidentiality
All client materials will be treated as confidential and will not be shared with third parties, except as required to perform the service or by law.
10. TFP and Collaborative Photo Sessions
For complimentary, TFP (Time for Photos), portfolio-building, collaborative, or otherwise unpaid photo sessions, the participant acknowledges that the photographs are provided in exchange for their participation and consent to be photographed.
Unless otherwise agreed in writing, all photographs, digital files, edited images, artwork, and derivative works created during the session remain the exclusive intellectual property of Ludart Photography.
By participating in such a session, the participant grants Ludart Photography the unrestricted, perpetual, worldwide right to use, reproduce, publish, display, exhibit, promote, license, sell, and otherwise commercially exploit the photographs and any derivative artistic works created from them, including but not limited to portfolios, websites, social media, exhibitions, competitions, advertising, printed products, fine art prints, photobooks, promotional materials, and commercial licensing.
No additional compensation shall be owed for any present or future use of the images beyond the photographs and services originally provided as part of the collaboration, unless otherwise agreed in writing.
The edited photographs are provided to the participant as consideration for this collaboration and do not constitute paid photographic services.
Participants who do not agree to these terms should not participate in complimentary or TFP sessions.
11. Limitation of Liability
The Service Provider is not liable for:
• Indirect or consequential damages
• Loss of data or business opportunities
• Dissatisfaction based on subjective preferences after agreed revisions
12. Governing Law
These Terms are governed by the laws of the Province of Quebec and applicable laws of Canada.
